Terms of Service
Last updated 31 October 2026
1. Agreement
These terms govern access to the website at archaicore.com and are the end user license for software published by ArchAICore Labs. The software includes Cloud & FinOps Automation, Financial & Banking Engines, Conversational AI & Agents (the “Services”). The Services are offered to businesses and other organizations, not for personal or household use. By using the website or a Service, you agree to these terms. If you use a Service for an organization, you confirm you can bind it, and “you” includes it.
If you have a signed order, a data processing agreement, or marketplace offer terms with us, those documents control where they conflict with these terms on the same subject. For a purchase through Microsoft Marketplace, Microsoft’s marketplace terms control the commercial transaction with Microsoft. These terms still cover use of the software where those marketplace terms are silent.
2. The software
ArchAICore Labs provides enterprise software for cloud governance, financial architecture, and intelligence engines. We are a software provider. We are not a bank, a payment institution, a custodian, an auditor, a tax adviser, or a law firm, and we do not claim a security or compliance certification on this website. The Services do not provide banking, custody, legal advice, or tax advice, and they are not a substitute for your own regulatory program. You remain responsible for your regulatory obligations and for the rules you configure. You will not use a Service to make a decision that produces a legal or similarly significant effect on a person, including a decision about credit, employment, housing, or insurance, unless a written agreement says you remain the decision-maker.
We may change, suspend, or withdraw an uncontracted part of a Service or this website. Contracted availability is whatever the applicable order states.
3. License
We grant you a limited, non-exclusive, non-transferable right to use a Service during the subscription or other term you have purchased, solely for your internal business, and subject to these terms and the applicable order. We reserve all rights we do not grant. The software, the site, and our trademarks stay ours. You receive no right to our name except to name us as your supplier.
4. Your data
You keep your rights in data, content, and credentials you submit (“Customer Data”). You grant us a license to host, copy, and process Customer Data only to provide, secure, and support the Service you configured, and to meet law.
You confirm you have the rights and notices needed to submit Customer Data, including personal information about your personnel and customers. You will not submit data the Service is not contracted to receive. Our privacy policy describes how we handle personal information.
5. Acceptable use
You will not, and will not allow others to:
- Break the law, or violate someone else’s privacy or intellectual property, with a Service.
- Probe, scan, or test the vulnerability of our systems without our written permission.
- Interfere with the Service, or bypass a usage limit, access control, or human approval gate.
- Reverse engineer the Service except where a non-waivable law allows it.
- Resell, sublicense, or provide the Service as a bureau service, unless an order says you may.
- Use the Service to build a competing model or product from our software itself.
- Submit malware, or use an agent workflow to take an action you are not authorized to take in the connected system.
6. Accounts and credentials
You are responsible for administrator accounts, API tokens, and cloud credentials you connect. Tell us promptly at [email protected] if you believe an account or credential has been misused. We may suspend access that creates a security risk or breaks these terms.
7. Third-party systems
A Service may connect to cloud accounts, ledgers, identity providers, model providers, or a marketplace you choose. Those systems have their own terms. We are not responsible for a third-party system we do not control, including its availability or its charges to you. If Microsoft gives us a customer’s contact details for a Marketplace transaction, we use them only to deliver the offer and to answer a question about it. We do not use them to direct that customer to buy on a competing marketplace.
8. Confidentiality
Each party will protect the other party’s non-public information with reasonable care and use it only to perform under these terms. This duty does not cover information that is public through no fault of the receiver, already known without a duty, independently developed, or rightfully received from someone else. A party may disclose information if the law requires it, after giving notice when legally allowed.
9. Fees
If a Service is free, or this website is all you use, no fee is due. Paid use is billed as the order or the marketplace listing states. Fees are exclusive of taxes you are required to pay, other than taxes on our income. Late amounts may be suspended after notice, where the order allows it.
10. Warranties and disclaimers
You and we each confirm we have the power to agree to these terms. The website and the Services are provided “as available.” Except for a warranty written into a signed order, we disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent the law allows.
We do not warrant that a Service will be uninterrupted, that a rule, reconciliation, tax result, or agent suggestion will be correct for your facts, or that your use will satisfy a regulator. You decide whether to rely on an output.
11. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, goodwill, or data, even if advised of the possibility.
To the maximum extent permitted by law, each party’s total liability arising out of these terms is limited to the fees you paid ArchAICore Labs for the relevant Service in the twelve months before the claim. If you have not paid any fees, the cap is one hundred US dollars.
These limits do not apply to liability that cannot legally be limited, to fees you owe, to your misuse of a Service, or to infringement of the other party’s intellectual property.
12. Your responsibility for claims
You will defend and indemnify ArchAICore Labs against third-party claims, and reasonable attorneys’ fees, arising from Customer Data you did not have rights to submit, or from your use of a Service in breach of these terms. We will give you prompt notice of the claim, reasonable cooperation, and control of the defense. We may participate with our own counsel.
13. Term and ending access
These terms apply while you use the website or a Service. You may stop using the website at any time. A paid term ends as its order describes. We may end or suspend access for a material breach that is not cured within thirty days of notice, or immediately if the breach is unlawful or a serious security risk.
Sections that should survive, including data licenses needed to wind down, confidentiality, disclaimers, liability limits, and this survival sentence, remain in effect.
14. Governing law
A signed order, or the Microsoft Marketplace publisher account for ArchAICore Labs, identifies the contracting business and its registered office. These terms are governed by the laws of the country of that registered office, without regard to conflict-of-law rules. The courts of that country have exclusive jurisdiction, except that either party may seek interim relief in any court that has jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
15. Other terms
These terms, plus an order or marketplace terms that apply, are the entire agreement on this subject. If a court holds a provision unenforceable, the rest remains in effect. A delay in enforcing a right is not a waiver. You may not assign these terms without our consent, except to a successor of your business. We may assign them to an affiliate or a successor. Notices to us go to [email protected].
We may update these terms by posting a new version on this page. The date at the top will change. For a contracted Service, the signed agreement describes whether a website change alters that contract. If you do not agree to updated terms for uncontracted use, stop using the website and the Service.
